These Terms govern your access to and use of the Nudgeto mobile application operated by Nudgeto LLC, a Delaware limited liability company. By downloading or using Nudgeto, you agree to these Terms.
1. Eligibility and Age Requirements
You must be at least 13 years of age to create an account. Users under 13 are strictly prohibited. Users 13–17 are placed in restricted mode — social discovery features including visibility to strangers are disabled. By creating an account, you confirm you meet the applicable age requirement.
2. Account Registration
- Provide accurate, complete, and current information.
- You are responsible for maintaining the confidentiality of your credentials.
- One account per person only.
- Notify us immediately at support@nudgeto.com of any unauthorized use.
3. Description of Service
Nudgeto is a proximity-based social discovery app allowing users to share location with mutual connections on a voluntary, time-limited basis; discover nearby events, places, and vendors; coordinate meetups using AR-assisted finding; and message mutual connections. All location sharing is opt-in, time-limited, and user-controlled. Location data is never shared with strangers or non-connections.
4. Acceptable Use
You agree NOT to use the Service to stalk, harass, or harm any person; track any person without their consent; impersonate any person or entity; scrape location data or personal information; use the Service unlawfully; attempt unauthorized access to the Service; transmit defamatory, threatening, or abusive content; send spam or unsolicited commercial messages; or reverse engineer the application. We may terminate accounts that violate these standards at our sole discretion without notice.
5. Location Data and Privacy
Location sharing is always voluntary and requires explicit activation. Precise location is only shared during Find Now sessions. Approximate location may be shared in Discoverable mode. Location data is only shared with mutual connections — never strangers or third parties. All sharing automatically expires. No persistent tracking is maintained. Our Privacy Policy is incorporated into these Terms by reference.
6. User Content
You retain ownership of your content. By submitting content, you grant Nudgeto LLC a non-exclusive, worldwide, royalty-free license to display your content solely for operating the Service. You represent that you own or have rights to your content and that it complies with these Terms.
7. Third-Party Services
The Service integrates with third-party event platforms, mapping services, and reservation systems. Your use of these is governed by their respective terms. We are not responsible for third-party practices.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not warrant that the Service will be uninterrupted, error-free, or that location data will be accurate at all times.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUDGETO LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE PRECEDING 12 MONTHS OR $100.
10. Indemnification
You agree to indemnify and hold harmless Nudgeto LLC and its officers, directors, employees, and agents from claims arising from your use of the Service, your content, or your violation of these Terms.
11. Termination
We may terminate or suspend your account at any time with or without cause. You may delete your account at any time through the app. All personal data is permanently removed within 30 days of deletion.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of Delaware. Disputes shall first be addressed through informal negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under American Arbitration Association rules.
13. Changes
We may modify these Terms at any time with notice via the app or email. Continued use constitutes acceptance of revised Terms.
