The short version. You must be 18 or older. You control when you're visible. Only share your location with people you trust, and never use Nudgeto to track, follow, or harass anyone. Nudgeto helps you find your people, but it is not an emergency service. In an emergency, call 911.
These Terms of Service ("Terms") are an agreement between you and Nudgeto LLC ("Nudgeto," "we," "us") covering your use of the Nudgeto mobile app, the website at nudgeto.com, and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.
1. Eligibility (18+ Only)
Nudgeto is for adults only. You must be at least 18 years old to create an account or use the Service. By using Nudgeto, you confirm that you are 18 or older and that all information you give us is accurate. Accounts found to belong to anyone under 18 will be terminated and their data deleted, as described in our Privacy Policy.
2. Your Account
- You sign in with your phone number or a supported sign-in provider (such as Google). You're responsible for keeping access to that phone number or account secure.
- One person, one account. Don't create accounts for someone else, impersonate anyone, or use a phone number you don't control.
- You're responsible for activity on your account. Tell us right away at support@nudgeto.com if you think your account has been accessed without your permission.
3. Location, Visibility & Connections
Nudgeto is built so that you decide when you can be found:
- Invisible is the default. No one can see your location in this mode.
- Discoverable shares an approximate location with others who are also visible.
- Find Now shares a precise location with mutual connections for a limited time, then expires automatically.
- Location and locate features work only between mutual connections that both of you have accepted, and you can block anyone at any time.
You're responsible for choosing who you connect with and when you're visible. Only share your location with people you know and trust.
4. Not an Emergency Service
Nudgeto is not a substitute for 911 or any emergency service. The SOS feature is a convenience that alerts your own connections. It does not contact police, fire, medical services, or any emergency responder, and we do not monitor SOS alerts. Delivery of any alert, notification, or location update depends on your device, battery, settings, network conditions, and other people's devices, and may be delayed or may not arrive at all. If you or someone else is in danger, call 911 or your local emergency number.
5. Accuracy of Location and Directions
Distances, directions, map pins, AR beacons, and floor or proximity estimates are approximations. Their accuracy depends on things outside our control, including your device's sensors, GPS and cellular conditions, buildings, crowds, and interference. Don't rely on Nudgeto for navigation where a mistake could cause injury, and always pay attention to your surroundings. Never use the camera or AR features while driving, and watch where you're walking.
6. Acceptable Use
You agree not to use the Service to:
- Track, follow, stalk, harass, threaten, or intimidate anyone, or locate someone who hasn't chosen to share their location with you.
- Pressure or trick someone into accepting a connection or turning on visibility.
- Impersonate a person or organization, or misrepresent your age or identity.
- Post or send content that is illegal, sexually explicit, hateful, violent, or that infringes someone else's rights.
- Spam, scam, advertise without permission, or collect other users' information.
- Interfere with, reverse-engineer, scrape, or overload the Service, or get around any security, age, or privacy feature.
- Break any law.
You can block or report anyone in the app. We may investigate reports and remove content or accounts that break these Terms.
7. Your Content
You own the content you add to Nudgeto, such as your profile, photos, messages, and posts. You give us a limited, worldwide, non-exclusive, royalty-free license to host, store, display, and transmit that content only as needed to run and improve the Service. This license ends when you delete the content or your account, except where the content was shared with others and they still have it, or where we must keep it by law. You're responsible for making sure you have the right to share anything you post.
8. Events, Tickets & Third-Party Services
- Event listings come from third parties such as Ticketmaster and event organizers' Ticket Tailor pages. We don't control those events, listings, or ticket sales, and we aren't responsible for cancellations, changes, or errors in them.
- Ticket purchases happen on the third party's own site under their terms. Some links are affiliate links, which means Nudgeto may earn a commission if you buy through them, at no extra cost to you.
- The Service relies on third-party providers, including Google Firebase, Apple, and Google. Your use of their products may also be subject to their terms.
9. Beta Features
Nudgeto is in early access. Some features are labeled or offered as beta or test features, may change or be removed at any time, and may not always work as expected.
10. Our Intellectual Property
The Nudgeto name, logo, app, website, and underlying technology, including the Nudgeto Engine, are owned by Nudgeto LLC and protected by intellectual property laws. Certain technology is patent pending. We give you a personal, non-transferable, revocable license to use the app for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our written permission.
11. Feedback
If you send us ideas or suggestions, we may use them without any obligation to you.
12. Suspension & Termination
You can stop using Nudgeto and delete your account at any time from within the app. We may suspend or terminate your account, with or without notice, if you break these Terms, if required by law, or to protect other users or the Service. Sections that by their nature should survive termination (including 4, 5, 10, 13, 14, 15, and 16) will survive.
13. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent allowed by law, Nudgeto disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee that the Service will be uninterrupted, error-free, secure, or that any location, alert, or message will be accurate or delivered. We are not responsible for the conduct of any user, on or off the Service, including anyone you meet in person.
14. Limitation of Liability
To the fullest extent allowed by law, Nudgeto and its owners, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from your use of or inability to use the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or $100.
Some places don't allow certain limitations, so some of these may not apply to you.
15. Indemnity
You agree to defend and hold harmless Nudgeto LLC from claims, losses, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, or your violation of these Terms or anyone else's rights.
16. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Before filing any claim, you agree to contact us at support@nudgeto.com and try to resolve it informally for at least 30 days. Any dispute that isn't resolved will be handled in the state or federal courts located in Delaware, and both parties agree to those courts' jurisdiction.
17. App Store Terms
If you downloaded Nudgeto from Apple's App Store or Google Play, these Terms are between you and Nudgeto, not Apple or Google. Apple and Google have no obligation to provide support or maintenance for the app. For Apple users, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
18. Changes to These Terms
We may update these Terms as the Service changes. If we make material changes, we'll let you know in the app or by email before they take effect. Continuing to use Nudgeto after changes take effect means you accept the updated Terms.
